利用規約

本利用規約(以下「本規約」といいます。)は、LocusLink(以下「当方」といいます。)が提供するスマートフォンアプリケーション「nighty」(以下「本サービス」といいます。)の利用条件を定めるものです。ユーザーの皆さま(以下「ユーザー」といいます。)には、本規約に同意のうえ本サービスをご利用いただきます。

重要事項のご案内

本サービスは認知シャッフル法を活用した睡眠導入の支援を目的としたアプリであり、医療行為を提供するものではありません。睡眠の質の向上効果には個人差があり、特定の効果を保証するものではありません。睡眠に関する重大な症状や持続的な不眠等がある場合には、必ず医師等の医療専門家にご相談ください。

第 1 条(適用)

本規約は、本サービスの提供条件およびユーザーと当方との間の本サービスに関する一切の関係に適用されます。ユーザーが本サービスをダウンロード、インストールまたは利用した時点で、本規約の全条項に同意したものとみなします。

当方が本サービスに関して別途定めるガイドライン、注意事項その他の規定(以下「個別規定」といいます。)は、本規約の一部を構成するものとします。本規約と個別規定の内容が異なる場合には、個別規定が優先して適用されるものとします。

第 2 条(定義)

  • 「本サービス」とは、当方が「nighty」の名称で提供するスマートフォン向けアプリケーションおよびこれに付随する一切のサービスをいいます。
  • 「ユーザー」とは、本規約に同意のうえ本サービスを利用するすべての個人をいいます。
  • 「有料プラン」とは、本サービスのうち、所定の料金を支払うことにより利用できる機能(自動更新型サブスクリプション)をいいます。
  • 「App Store」とは、Apple Inc. が運営するアプリケーション配信プラットフォームをいいます。

第 3 条(アカウント)

本サービスは、ユーザー登録(メールアドレス・パスワード等によるアカウント作成)を必要とせずに利用できる設計となっています。ユーザーが入力・設定した情報は当該ユーザーのデバイス内に保持され、当方はこれを取得しません。

ユーザーがデバイスを変更した場合、機種変更前のデバイス内に保持されていた利用状況・設定等は引き継がれない場合があります。あらかじめご了承ください。

第 4 条(有料プラン)

当方は、本サービスの一部機能を有料プラン(自動更新型サブスクリプション)としてユーザーに提供します。本書作成時点で提供する有料プランは以下のとおりです。

  • MonthlySubScription(月額プラン): [要確認: 月額 ¥XXX(税込)]

各プランの正式な販売価格、課金通貨、提供条件の詳細については、App Store の本サービス購入画面に表示される内容が優先されます。

無料体験について

月額プラン・年額プランのいずれにおいても、初回利用時に 3 日間の無料体験期間が提供されます。無料体験期間中に解約手続きを行わない限り、無料体験期間の終了をもって自動的に有料プランへ移行し、所定の料金が請求されます。

無料体験期間の終了 2 日前を目安に、Apple のサブスクリプション通知機能を通じて事前通知が行われます。

自動更新について

有料プランは、各課金期間(月額プランは 1 か月、年額プランは 1 年)の終了日の 24 時間以上前までに解約手続きが行われない限り、同一の条件で自動的に更新されます。更新時の料金は、Apple のアカウントに登録された支払方法により決済されます。

解約方法

ユーザーは、iOS デバイスの「設定」>「Apple アカウント」>「サブスクリプション」より、いつでも有料プランの自動更新を停止することができます。期間内に解約手続きを行った場合、次回更新日以降は課金が停止されますが、現在の課金期間内は引き続き有料プランの機能をご利用いただけます。

返金について

有料プランの返金は、Apple の定めるポリシーおよび手続に従って行われます。当方は、ユーザーが Apple に対して行った返金請求の結果について保証するものではありません。

第 5 条(知的財産権)

本サービスおよび本サービスに関連する一切のコンテンツ(プログラム、デザイン、テキスト、画像、音声、ロゴ、商標等を含みますが、これらに限られません。)に関する著作権、商標権その他の知的財産権は、当方または正当な権利者に帰属します。

ユーザーは、本規約で明示的に許諾された範囲を超えて、本サービスおよびそのコンテンツを複製、転載、頒布、改変、リバースエンジニアリング、二次利用その他の方法で利用してはなりません。

第 6 条(禁止事項)

ユーザーは、本サービスの利用にあたり、以下の行為を行ってはなりません。

  • 法令または公序良俗に違反する行為
  • 犯罪行為に関連する行為
  • 本サービスのサーバーまたはネットワークの機能を破壊したり、妨害したりする行為
  • 本サービスの運営を妨害するおそれのある行為
  • 当方または第三者の知的財産権、肖像権、プライバシー、名誉その他の権利または利益を侵害する行為
  • 本サービスを逆コンパイル、逆アセンブル、リバースエンジニアリングその他の方法で解析する行為
  • 本サービスの不正な複製、改変、再配布またはこれに類する行為
  • 不正な手段により有料プランの料金支払を免れる行為
  • その他、当方が不適切と判断する行為

第 7 条(免責事項)

当方は、本サービスがユーザーの特定の目的に適合すること、期待する機能・効果(睡眠の質の向上、入眠時間の短縮等を含みます。)を有すること、エラーまたはバグが生じないこと、継続的に提供されること、その他本サービスに関する一切の事項について、明示・黙示を問わず何ら保証するものではありません。

本サービスは医療機器ではなく、医療行為または医療相談に代わるものではありません。慢性的または重大な睡眠障害、精神的・身体的な健康上の問題がある場合は、本サービスを利用する前に必ず医師等の医療専門家にご相談ください。本サービスの利用により生じた健康上の影響について、当方は一切の責任を負いません。

当方は、本サービスに関してユーザーに生じた損害について、当方の故意または重大な過失による場合を除き、責任を負いません。なお、当方が責任を負う場合であっても、その賠償額は、当該損害発生の直前 12 か月間にユーザーが本サービスに対して支払った有料プランの料金の総額を上限とします。

第 8 条(サービスの変更・停止)

当方は、ユーザーへの事前の通知なくして、本サービスの内容を変更し、または本サービスの提供を中断・停止することができるものとします。当方はこれによってユーザーに生じた損害について一切の責任を負いません。

第 9 条(個人情報の取り扱い)

当方による個人情報および利用状況情報の取り扱いについては、別途定めるプライバシーポリシーに従うものとします。

第 10 条(規約の変更)

当方は、必要と判断した場合には、ユーザーに通知することなく本規約を変更することができるものとします。変更後の本規約は、本サービス上または当方のウェブサイト上に掲示された時点から効力を生じるものとし、ユーザーが変更後に本サービスを利用した場合、変更後の本規約に同意したものとみなします。

第 11 条(App Store の規約および Apple 標準 EULA との関係)

本サービスは App Store を通じて配信されます。ユーザーは、本サービスを利用するにあたり、本規約に加えて、Apple Inc. が定める「Apple Media Services 利用規約」および「ライセンス済みアプリケーションエンドユーザー使用許諾契約(Apple 標準 EULA)」を遵守する必要があります。

Apple 標準 EULA はユーザーと Apple との間の契約であり、本規約は本サービスに関するユーザーと当方(LocusLink)との間の契約です。本規約と Apple 標準 EULA の内容に齟齬が生じた場合、本サービスに関する事項については、本規約が優先して適用されます。ただし、Apple との関係においては Apple 標準 EULA が優先します。

第 12 条(準拠法・裁判管轄)

本規約の解釈および適用にあたっては、日本法を準拠法とします。本サービスまたは本規約に関してユーザーと当方との間で紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

第 13 条(動作環境)

本サービスは、現在 iOS 端末向けに提供されています。Android 版についても近日中の配信を予定しています。最新の対応 OS バージョンおよび推奨デバイスについては、App Store の本サービス配信ページをご確認ください。

Terms of Service

These Terms of Service (the "Terms") set forth the conditions under which LocusLink (the "Provider", "we", "us", or "our") makes the smartphone application "nighty" (the "Service") available to users (each a "User"). By downloading, installing, or using the Service, you agree to be bound by these Terms.

Important Notice

The Service is a sleep-onset assistance app that uses the cognitive-shuffling technique. It is not a medical device and does not provide medical advice, diagnosis, or treatment. Results vary by individual and no specific outcomes are guaranteed. If you experience persistent or serious sleep issues, please consult a qualified medical professional.

1. Scope

These Terms apply to all matters relating to the Service between the User and the Provider. By downloading, installing, or using the Service, the User is deemed to have agreed to all provisions of these Terms. Any guidelines, notices, or rules separately established by the Provider regarding the Service form an integral part of these Terms.

2. Accounts

The Service is designed to be used without creating a user account (no email address, password, or other login credentials are required). Information entered or configured by the User is retained on the User's device only and is not collected by the Provider.

3. Paid Plans (Auto-Renewing Subscriptions)

Some features of the Service are made available through paid plans offered as auto-renewing subscriptions. As of the effective date of these Terms, the following plans are offered:

  • MonthlySubScription: [TBD: JPY XXX / month (tax included)]
  • YearlySubScription: [TBD: JPY XXX / year (tax included)]

The actual price, billing currency, and offering conditions displayed on the App Store purchase screen at the time of purchase shall prevail over the information shown here.

Free Trial

Both the monthly and yearly plans include a 3-day free trial on first use. Unless the User cancels during the free trial period, the subscription will automatically convert to a paid subscription at the end of the trial and the applicable fee will be charged. A reminder notification is sent approximately 2 days before the end of the free trial through Apple's standard subscription notification mechanism.

Auto-Renewal

Paid plans automatically renew under the same conditions unless cancelled at least 24 hours before the end of the current billing period. Renewal charges are billed to the payment method registered with the User's Apple Account.

How to Cancel

Users may turn off auto-renewal at any time from Settings > [Apple Account] > Subscriptions on their iOS device. Cancellation takes effect at the end of the current billing period; access to paid features continues until that date.

Refunds

Refunds for paid plans are handled in accordance with Apple's standard refund policy. The Provider does not guarantee the outcome of any refund request made to Apple.

4. Intellectual Property

All intellectual property rights in the Service and its content (including programs, designs, text, images, audio, logos, and trademarks) belong to the Provider or the respective rights holders. Users may not reproduce, redistribute, modify, reverse engineer, or otherwise exploit the Service or its content beyond what is expressly permitted by these Terms.

5. Prohibited Conduct

Users must not engage in any of the following while using the Service: violation of laws or public order; criminal activity; interference with the Service's servers or network; infringement of the intellectual property, privacy, or other rights of the Provider or third parties; reverse engineering of the Service; unauthorized duplication, modification, or redistribution of the Service; circumventing payment of subscription fees; or any other act that the Provider deems inappropriate.

6. Disclaimer and Limitation of Liability

The Service is provided on an "as is" basis. The Provider makes no warranties, express or implied, regarding the Service, including but not limited to suitability for a particular purpose, achievement of any specific effect (such as improved sleep quality or shorter time to fall asleep), uninterrupted availability, or freedom from errors.

The Service is not a medical device and is not a substitute for medical advice, diagnosis, or treatment. The Provider is not liable for any health-related effects arising from use of the Service.

Except in cases of wilful misconduct or gross negligence on the part of the Provider, the Provider is not liable for any damages incurred by the User in connection with the Service. In any event, the Provider's aggregate liability shall not exceed the total amount of subscription fees actually paid by the User to the Service during the 12 months preceding the event giving rise to the claim.

7. Changes and Suspension of the Service

The Provider may change the content of the Service or suspend or discontinue the Service without prior notice to Users. The Provider is not liable for any damages caused to Users by such changes or suspension.

8. Privacy

Handling of personal and usage information is governed by the separate Privacy Policy.

9. Changes to These Terms

The Provider may change these Terms when it deems necessary, without prior notice to Users. The amended Terms take effect upon being posted on the Service or the Provider's website, and continued use of the Service after such posting constitutes acceptance of the amended Terms.

10. Relationship with the App Store and Apple's Standard EULA

The Service is distributed through the App Store. In addition to these Terms, Users must comply with the Apple Media Services Terms and Conditions and the "Licensed Application End User License Agreement" (Apple's standard EULA) provided by Apple Inc.

Apple's standard EULA is a contract between the User and Apple, whereas these Terms are a contract between the User and the Provider (LocusLink) regarding the Service. In the event of any conflict between these Terms and Apple's standard EULA with respect to matters concerning the Service, these Terms shall prevail. With respect to matters concerning the relationship with Apple, Apple's standard EULA shall prevail.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any disputes arising out of or in connection with the Service or these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court for the first instance.

12. Supported Environment

The Service is currently available for iOS. An Android version is scheduled for release in the near future. Please refer to the App Store listing for the latest supported OS versions and recommended devices.
